This Purchase and Sale Agreement (this “Agreement”) is entered into by and between the Anthony Pritzker Family Foundation, a private charitable foundation (the “Seller”), and Hyatt Hotels Corporation, a Delaware corporation (the “Purchaser” or the “Company”), as of August 7, 2019.
